Client means any business, organisation, or individual making an enquiry or purchasing services or goods.
Services means workstation technology design, hardware and software sourcing, networking supply, and secure access solution brokerage.
Products means computers, peripherals, networking equipment, and software supplied through wholesale or authorised channels.
Supplier means any third-party manufacturer, distributor, or vendor.
Agreement means any written quotation, proposal, or order confirmation issued by the Company.
2. Scope of Services
Tech Marketplace Limited provides B2B technology design and supply services, including workstation specification, hardware and software sourcing, networking components, and secure remote access solution design support.
We operate as a supplier and broker. Unless expressly stated, we do not manufacture products or provide on-site installation, configuration, or managed IT services. Third-party contractors may be introduced where appropriate.
3. Website Information
All website content is provided for general information only. While we take reasonable care to ensure accuracy, we do not guarantee completeness, fitness for purpose, or that all specifications or availability details remain current.
Product descriptions and service outlines are indicative and subject to change.
4. Quotations and Orders
All quotations are subject to availability and validity periods stated in the quote. Prices may change due to supplier pricing updates, currency movement, or specification revisions.
An order is only binding when accepted in writing by the Company. We reserve the right to decline orders at our discretion.
5. Client Responsibilities
Clients must provide accurate technical and operational requirements, including:
- User numbers and roles
- Performance requirements
- Compatibility constraints
- Security and access needs
- Network environment details
We are not liable for issues arising from incomplete or inaccurate information provided by the Client.
6. Third-Party Products and Vendors
Many products supplied are manufactured and warranted by third parties. Manufacturer warranties apply directly between the Client and manufacturer unless otherwise stated.
We are not responsible for:
- Manufacturer defects
- Firmware or software faults
- Vendor delays
- Third-party compatibility claims
Supplier terms may apply in addition to these Terms.
7. Delivery and Logistics
Delivery dates are estimates unless expressly guaranteed in writing. We are not liable for delays caused by suppliers, carriers, customs processes, or force majeure events. Risk in goods passes according to the applicable supplier or shipping terms stated in the order documentation.
8. Payment Terms
Invoices must be paid within the stated payment period. We reserve the right to:
- Require advance payment
- Suspend supply for overdue invoices
- Charge statutory interest on late payments
Ownership of goods may remain with the Company until paid in full where legally permitted.
9. Returns and Cancellations
Technology products are often non-returnable once ordered due to configuration, licensing, or supplier rules. Returns are subject to supplier return policies and may include restocking fees.
Service work and specification design time already performed is chargeable if a project is cancelled.
10. Security and Access Design Disclaimer
Where we provide guidance on networking, VPN access, or role-based access control (RBAC), this is design guidance based on information supplied. Final implementation, configuration, and security management remain the responsibility of the Client or their appointed IT provider.
We do not guarantee that any design eliminates all security risks.
11. Data Protection and GDPR
We process personal and business contact data in accordance with UK GDPR and the Data Protection Act 2018.
We collect and process data only as necessary to:
- Respond to enquiries
- Prepare quotations
- Supply products and services
- Coordinate vendors and deliveries
- Maintain accounting and legal records
Data may be shared with suppliers and logistics partners where necessary for order fulfilment. We do not sell personal data. Data subjects may request access, correction, or erasure where legally permitted.
12. Confidentiality
Commercial, technical, and architectural information shared with us will be treated as confidential and used only for service delivery and quotation purposes, except where disclosure is required by law or necessary to fulfil supply obligations.
13. Intellectual Property
All specifications, solution designs, documentation, and written recommendations produced by the Company remain our intellectual property unless otherwise agreed. They may not be redistributed or reused commercially without written permission.
14. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for:
- Indirect or consequential loss
- Loss of profit, revenue, or data
- Business interruption
- Security breaches arising from third-party systems
- Compatibility issues outside agreed specifications
Total liability for direct loss shall not exceed the fees paid to the Company for the relevant order or service.
Nothing in these Terms excludes liability that cannot legally be excluded.
15. Force Majeure
We are not liable for delay or failure caused by events beyond reasonable control, including supply chain disruption, component shortages, transport failures, cyber incidents, or regulatory changes.
16. Termination
We may suspend or terminate services where there is non-payment, misuse, abusive conduct, or material breach of these Terms. Outstanding invoices remain payable.
17. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
